Part II — United States Disclaimer

12. Eligible Users — US

Although the information provided herein is for general informational and educational purposes only and does not constitute an offer to sell, a solicitation of an offer to buy, or a recommendation regarding any security, investment product or investment strategy, due to requirements of our third party data providers, access to the Platform in the United States is restricted to persons who qualify as Accredited Investors under Rule 501(a) of Regulation D under the Securities Act of 1933, as amended, and/or Qualified Purchasers under Section 2(a)(51) of the Investment Company Act of 1940, as amended, and/or registered investment professionals (holders of FINRA Series 7, 65, or 82 licenses in good standing). Access is also available to institutional entities, including registered investment advisers, broker-dealers, banks, insurance companies, and ERISA employee benefit plans with assets exceeding USD 5,000,000. By registering for and accessing the Platform, each US user represents and warrants that they meet at least one of these eligibility criteria.

The Platform provides data, quantitative analytics, and research tools only. Users remain solely responsible for any investment decisions they make using information that may be on Platform Content.

14. Not a Broker-Dealer or Exchange — US

Pyrite is not a registered broker-dealer under the Securities Exchange Act of 1934, is not a registered national securities exchange, and does not execute or facilitate securities transactions. Nothing on the Platform constitutes an offer or solicitation to buy or sell securities.

15. Regulation D / Private Placement Disclaimer — US

To the extent any Content on the Platform relates to private investment funds or privately offered securities, such Content is provided solely to eligible investors as defined above. It is not an offer to sell or a solicitation of an offer to buy any security. Any such offer or solicitation will be made only by means of a formal offering document from a third party (and not from Pyrite) and only to investors who qualify under applicable law.

16. State Securities Laws — US

In addition to federal securities laws, again due to the requirements of our third-party data providers, users must comply with the securities laws of their state of residence. Access to the Platform does not constitute compliance with state 'Blue Sky' laws; Pyrite is neither required nor does it make any representation that the Platform is registered or exempt in any particular state.

Nothing on the Platform constitutes tax advice. Platform Content is provided without regard to the tax consequences of any investment and users should consult their own tax advisor. Pyrite does not provide tax planning services.

18. Governing Law, Dispute Resolution, Indemnification and Other Terms and Conditions — US Users

Users are advised to access and review Pyrite’s Website and Platform Terms of Access and Use with regard to applicable law, dispute resolution, indemnification and other terms and conditions.

Part III — Other Countries (Passive / Self-Directed Access)

31. Persons Outside the United States

Pyrite does not actively solicit, market, or make the Platform available to users in any jurisdiction other than the United States. Users located in any other jurisdiction who access the Platform do so entirely on their own initiative, without any invitation or solicitation from Pyrite.

32. No Documents or Communications

Pyrite will not send reports, research, marketing materials, or any other documents to users domiciled outside the United States. Such users have access to Platform data only. No outbound commercial communication from Pyrite is directed to these users.

33. User Responsibility

Users accessing the Platform from other jurisdictions are solely responsible for determining whether their access and use of the Platform is permitted under the laws and regulations of their jurisdiction. Access to the Platform from jurisdictions where it would be unlawful to do so is prohibited. Pyrite makes no representation that the Platform is available, appropriate, or lawful for use in any jurisdiction outside the US.

34. Compliance with Local Law

Nothing in this Disclaimer shall be construed as Pyrite making any representation about the regulatory status of the Platform in any jurisdiction not identified in Parts II–IV. Users in other jurisdictions must satisfy themselves that their use of the Platform complies with all applicable local laws, regulations, and regulatory requirements, including any laws relating to the import or export of financial data.
